1. Acceptance of terms

By accessing and using the website astratos.io and the services offered by Astratos LLC ("Astratos", "we", "our"), you agree to be bound by these Terms and Conditions. If you do not agree with any of these terms, you should not use our services. If you are accessing the services on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these terms.

2. Company information

Astratos LLC is a company incorporated under the laws of the State of Florida, United States.

3. Description of service

Astratos is an AI-powered CRM platform designed for sales teams in LATAM. Our service enables:

• Managing WhatsApp conversations from a centralized dashboard.
• Automating follow-ups and lead qualification through AI agents.
• Visualizing and updating sales pipelines in real time.
• Automatically scheduling meetings based on detected purchase intent.
• Attributing conversions to Meta Ads campaigns.

At the time of publishing these terms, Astratos is in early access phase. The features described may be subject to changes before the official launch.

4. Registration and platform access

To access the platform you must provide truthful and up-to-date information. By registering:

• You confirm that the information provided is accurate and agree to keep it updated.
• You are responsible for maintaining the confidentiality of your access credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorized use of your account.
• You may request deletion of your account at any time by writing to jesus@astratos.io.

5. Subscriptions and payments

Access to Astratos requires a monthly or annual subscription. By purchasing a subscription:

• You expressly authorize Astratos (or its third-party payment processor) to charge your selected payment method.
• The subscription renews automatically at the end of each period unless you cancel before renewal.
• The subscription price is calculated per user (seat) according to the contracted plan, plus applicable taxes.
• If you add users during the current period, the pro-rata seat fee will be charged immediately.
• If you remove users, you will receive a pro-rata credit toward your next billing period.
• Credits issued are not redeemable for cash or other monetary compensation.

Astratos also offers additional features through add-ons that are billed separately and added to the base subscription fee.

If a charge cannot be processed (due to expiration, insufficient funds or any other reason), you remain responsible for the outstanding amount. Astratos may suspend the service until all payments are current.

6. Intellectual property

All content on astratos.io, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads and data compilations, is the exclusive property of Astratos LLC or its content providers, and is protected by applicable intellectual property laws.

Reproduction, distribution, modification, transmission or reuse of the content of this site for public or commercial purposes without the prior written consent of Astratos LLC is expressly prohibited.

7. Acceptable use

By using our site and services, you agree not to:

• Use the services for illegal or unauthorized purposes.
• Attempt to gain unauthorized access to systems, data or other users' accounts.
• Transmit viruses, malware or any harmful code.
• Reverse engineer, decompile or disassemble the platform software.
• Reproduce, duplicate, copy or resell any part of the service without express authorization.
• Use bots, scrapers or other automated tools to extract data from the site.
• Use the service to train, improve or develop competing AI models.
• Impersonate any person or entity.

8. User content and liability assignment

The Astratos platform allows you to upload, import and store files, contacts, conversations, documents and other content ("User Content"). With respect to such content:

• Astratos LLC does not claim any ownership rights over your User Content.
• By uploading User Content, you grant us a limited, non-exclusive, worldwide license to store, process and display it to you and your authorized users solely for the purpose of operating and providing the service.
• You are solely responsible for the accuracy, legality and suitability of the User Content you upload.
• You represent and warrant that you have all rights, licenses and consents necessary to upload such content and to grant us the license described.
• You will not upload content that infringes intellectual property rights, personal data of third parties without their consent, or illegal, fraudulent or obscene material.
• Astratos LLC may remove or disable access to any User Content that, at its sole discretion, violates these Terms or applicable law.

We may generate aggregated and anonymized data derived from your use of the platform to improve our services. Such data does not identify you or your contacts individually.

Upon cancellation or termination of your account, you may export your User Content during the remaining access period. After that period, Astratos LLC will delete your content from its systems in accordance with our Privacy Policy.

9. Indemnification

You agree to defend, indemnify and hold harmless Astratos LLC and its officers, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of: (a) your access to or use of the services; (b) User Content you upload or transmit through the platform; or (c) your violation of these Terms.

10. Limitation of liability

To the maximum extent permitted by applicable law, Astratos LLC will not be liable for:

• Indirect, incidental, special, consequential or punitive damages.
• Loss of profits, revenue, data or goodwill.
• Service interruptions or technical failures beyond our reasonable control.
• Unauthorized access to or alteration of your data caused by third parties.

In no event will the total cumulative liability of Astratos LLC exceed the amounts actually paid by you in the twelve (12) months immediately preceding the first event giving rise to the claim, or one hundred dollars (USD $100) if you have had no payment obligations. The service is provided "as is" and "as available", without warranties of any kind, express or implied.

11. Termination

Astratos LLC may suspend or terminate your access to the services at any time and without notice if you breach these terms or for any other reason at its sole discretion. You may cancel your account at any time pursuant to section 5a. The following sections will survive termination: 5, 6, 8, 9, 10, 11 and 12.

12. Privacy

The processing of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By accepting these terms, you also accept the processing of your data in accordance with that policy.

13. Modifications to the service and terms

Astratos LLC reserves the right to modify, suspend or discontinue any part of the service and to update these Terms at any time. Changes will take effect upon publication. Continued use of the service constitutes your acceptance of the updated terms.

14. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States. Any dispute shall be subject to the exclusive jurisdiction of the competent courts of Miami-Dade County, Florida.
